1. POEditor Terms of Service

1.1. POEditor is an online service ("Service") which can be used on various stationary and/or mobile devices. POEditor is operated by CODE WHALE INC., 1004 Sandstone Drive, Jeffersonville, IN 47130, United States ("CODE WHALE"). This document sets forth certain terms and conditions ("Terms") of the legal contract between you ("User") and CODE WHALE with respect to User's use of the CODE WHALE Service, whether as an individual user or representing an organization.

2. Accepting the terms

2.1. In order to use the Service, you must agree to the Terms.
2.2. You can accept the terms by clicking to accept or to agree to the Terms, where this option is made available to you by CODE WHALE in the user interface for the Service. If no such option is available, you agree to the Terms by actually using the Service. In this case, you understand and agree that CODE WHALE will treat your use of the Service as acceptance of the Terms from that point onwards.
2.3. To use the Service you are required to be older than 16. You hereby certify that you are at least 16 years old.

3. Availability of the Service

3.1. CODE WHALE reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof). You agree that CODE WHALE shall not be liable to you or to any third party for any modifications, suspension or discontinuance of the Service.

4. User's account, password and security

4.1. By using the Service, you represent and warrant that all registration information is truthful and accurate and you agree to maintain the accuracy of such information.
4.2 You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Service.
4.3. Accordingly, you agree that you will be solely responsible for all activities that occur under your account.

5. Privacy and your personal information

5.1. You own your data.
5.2. You control who has access to your data.
5.3. POEditor monitors system usage.
5.4. Our website uses cookies to manage user sessions.
5.5. We do not store any information on your browser that, on its own, can be used to identify you as an individual.
5.6. We have a legal duty to protect any information we collect from you. We safeguard your data and keep strict security standards to prevent any unauthorized access to it. We do not pass on your details to any third party without your consent.

6. Property rights

6.1. The Service and all applicable programming code, trademarks, service marks, logos, domain names and other distinctive brand features used in connection with the Service contain proprietary and confidential information of CODE WHALE that is protected by international law and treaties.

7. Term and termination

The Terms start to apply on the date of acceptance by you of the Terms and continue until terminated by CODE WHALE or you in accordance with the following terms.
7.1. If you want to terminate your legal agreement with CODE WHALE, you may do this by deleting your accounts for the Service.
7.2. CODE WHALE may terminate, at any time, its legal agreement with you if:
A. You have breached any provision of the Terms (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms); or
B. CODE WHALE is required to do so by law (for example, where the provision of the Service to you is, or becomes, unlawful)

8. Warranties

8.1. The Service is provided "as is" and CODE WHALE gives you no warranty.
8.2. POEditor does not hold any kind of responsibilities towards users' translations and neither towards translations from third party services.

9. Modification

CODE WHALE reserves the right to change the Terms from time to time in its sole discretion without any notifications regarding this matter.

10. Payments and Subscription

10.1. Refunds

The Service is billed in advance and is non-refundable once your account has been charged. There are no refunds or credits for partial months of service, account downgrade refunds, or refunds for months unused with an open account. No exceptions will be made.

10.2. Cancellation policy for recurring billing

You may cancel your recurring billing subscription at any time. You are solely responsible for properly canceling your subscription. An email request to cancel your subscription is not considered cancellation.

10.3. Downgrades

Downgrades and the new rates will take effect at the beginning of your next billing cycle.

10.4. Upgrades

Upgrades and the new rates will take effect immediately. If the next billing cycle is in less than one month, at least one month will be paid in advance with the upgrade.

10.5. Recurrent Billing

Your transaction will take place automatically. In case any error happens along the automatic billing process, a new attempt of processing your payment will take place the following week.

11. API

11.1. You expressly understand and agree that POEditor shall not be liable for any direct or indirect damages or other losses resulting from your use of the API.
11.2. Abuse or excessively frequent requests to POEditor via the API may result in the temporary or permanent suspension of your account's access to the API. POEditor, in its sole discretion, will determine abuse or excessive usage of the API.
11.3. POEditor reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the API (or any part thereof) with or without notice.
